What governance decides — and what it does not

Governance sets strategy, approves policy, oversees finance and compliance, manages risk, and approves partnerships. There are three things it may not touch, and these are the ones worth naming.

It may not decide whether a manuscript is published. Editorial decisions rest with each journal’s editors, on scholarly grounds. Owners, sponsors, advertisers, and fee-paying authors do not influence them. Manuscripts from our own editors are handled through an independent editorial pathway from which those editors are wholly excluded.

It may not overturn a decision of the Institutional Review Board. No director, shareholder, or officer of this company may sit on the Board, vote on it, or set aside its decisions. This applies without exception to all four people named above, each of whom is an active investigator whose protocols come before it. The Board is chaired by a senior academic who holds no position with us.

It may not hear a complaint about itself. Complaints and appeals go to panels drawn from members who took no part in the decision under challenge. No one decides an appeal against their own decision.

Conflicts of interest

Every director, editor, employee, consultant, reviewer, and committee member declares financial, professional, academic, personal, and institutional interests that could affect impartial judgement. A person with a relevant conflict takes no part in the decision. Not a reduced part. No part. Recusals are recorded by name. The test is not whether a person is actually biased — nobody believes they are — but whether a reasonable outsider, knowing the facts, would doubt the decision.

Independent bodies

Institutional Review Board — reviews all research involving human participants. Chair and a majority of members independent of the company. Editorial Appeals Panel — hears appeals against editorial decisions; no panellist hears an appeal on a journal whose board they sit on. Complaints and Research Integrity Committee — handles misconduct allegations and complaints about editorial conduct, chaired externally.
